Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Lyrixis AI website, tools, and related services (the “Service”), provided by Lyrixis AI (“Lyrixis,” “we,” “us,” or “our”). By creating an account, purchasing credits, or otherwise using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet this requirement.

2. Accounts

You are responsible for safeguarding your account, including your email inbox used to receive magic-link sign-in messages. Notify us immediately at security@lyrixis.ai of any unauthorized use. We are not liable for losses arising from unauthorized access caused by your failure to secure your inbox.

3. Credits, Purchases, and Billing

  • Our tools are priced in credits. A given tool consumes a fixed number of credits per use (displayed before you generate).
  • You purchase credits in packs via Stripe. All prices are in U.S. dollars unless otherwise stated.
  • Credits do not expire. They are non-transferable and have no cash value.
  • Credits are deducted atomically when you start a generation. If the AI provider fails to return a result, credits are automatically refunded.
  • Credits are not refunded when the AI returns a result you are not satisfied with, when downstream delivery (e.g., email) fails, or for any subjective quality reason.
  • Purchases are non-refundable by default. We may, at our sole discretion, issue a refund for accidental duplicate purchases or verified billing errors within 7 days of the charge. Stripe-initiated refunds will reverse the corresponding credits from your balance.

4. Acceptable Use

You may not use the Service to:

  • Generate content that is unlawful, defamatory, harassing, or that infringes intellectual property rights.
  • Generate or distribute spam, phishing content, or material designed to deceive.
  • Scrape, target, or harvest personal information about individuals without a lawful basis, or in a way that violates the privacy policies or terms of third-party sites.
  • Attempt to access, probe, or test the vulnerability of any system or network without authorization.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Automate creation of accounts, circumvent credit deductions, or otherwise abuse the Service.
  • Violate any applicable law, including export controls and sanctions.

5. Content

Your Inputs

You retain ownership of the inputs you provide to the Service. You grant us a non-exclusive, worldwide, royalty-free license to process your inputs for the limited purpose of providing the Service (including transmitting them to our AI providers).

Generated Outputs

Subject to your compliance with these Terms and full payment of applicable credits, we assign to you all of our right, title, and interest (if any) in the outputs generated for you. You are responsible for reviewing outputs before relying on or publishing them. AI-generated content may contain inaccuracies; Lyrixis makes no warranty as to the accuracy, originality, or fitness of outputs.

Third-Party Rights

Outputs may incidentally resemble publicly available content. You are responsible for ensuring your use of outputs complies with applicable copyright, trademark, and privacy laws, and for adding any disclosures required by law or platform policy (including disclosure of AI involvement).

6. Prospecting Tools and Third-Party Data

The prospecting-list tool aggregates information from publicly available websites. You agree that you will use this output solely in compliance with applicable marketing, anti-spam, and data-protection laws (including but not limited to the CAN-SPAM Act, CASL, GDPR, and the UK PECR). Lyrixis does not guarantee the accuracy or legality of contact information, and you assume all responsibility for your outreach.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (including AI providers), or unforeseen incidents may cause downtime. We are not liable for any loss arising from Service interruption.

8. Changes to the Service

We may modify, suspend, or discontinue any part of the Service at any time. If we materially reduce functionality for which you have unused prepaid credits, we will, at our option, refund the unused balance pro-rata or offer an equivalent substitute.

9. Termination

We may suspend or terminate your account for violation of these Terms, including for misuse that risks our infrastructure, AI-provider relationships, or legal standing. On termination for cause, unused credits are forfeited. On termination without cause initiated by us, we will refund the unused credit balance. You may close your account at any time by emailing support@lyrixis.ai.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. LYRIXIS DOES NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, ORIGINAL, COMPLIANT WITH LAW, OR FIT FOR YOUR INTENDED USE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYRIXIS'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID LYRIXIS IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA.

12. Indemnification

You agree to indemnify and hold harmless Lyrixis from any claims arising from (a) your use of the Service, (b) your inputs or outputs, (c) your violation of these Terms, or (d) your violation of any third-party rights or applicable law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via email or a notice on the Service. Your continued use after the effective date constitutes acceptance.
